Welcome to the February edition of The Round-Up!

This month Matthew Winn-Smith discusses the recent Supreme Court decision of Eclairs Group Ltd v JKX Oil & Gas plc and Glengary Overseas Ltd v JKX Oil & Gas plc [2015] UKSC 71.  A case regarding the applicability of the "proper purpose" rule under the s.171(b) of the Companies Act 2006 in relation to the exercise of a board's powers under its Articles.
